Zen Technologies Bets Big on Defence AI: To Acquire 51.98% Stake in Cogknit for ₹135 Crore

The transaction, which will give Zen Technologies a majority stake in Cogknit on a fully diluted basis, is expected to strengthen Zen's presence in AI-driven battlefield management, command-and-control systems and indigenous defence technology.

Zen Technologies-Cogknit Deal: Key Details

Zen Technologies will invest ?135.15 crore in Cogknit through a combination of primary investment and purchase of existing shares.

According to the company, investor Ashish Kacholia and his associates will also participate in Cogknit's primary funding round.

Following completion of the transaction, Cogknit Semantics will become a subsidiary of Zen Technologies. The deal remains subject to customary closing conditions.

Importantly, Cogknit's founding team will continue to lead the business, allowing the company to retain its existing technical expertise and leadership.

Cogknit's Battlefield Management System

Cogknit has emerged as an important player in India's defence-tech ecosystem with its Battlefield Management System (BMS).

The company won an iDEX challenge to develop a Battlefield Management System for Main Battle Tanks. It also received the Raksha Mantri's Award for Innovation in 2022.

The system is designed to digitally connect tanks, military vehicles and soldiers, allowing commanders to operate using a shared, real-time picture of the battlefield.

Zen Technologies said Cogknit has already completed field trials with the Indian Army and that the system was designed and developed in India.

Cogknit CEO Anuroop Iyengar said the company has been part of India's emerging defence-startup ecosystem since 2014. The company's journey began with large-scale data processing for signals and edge AI for infantry before moving into command-and-control solutions through the iDEX programme.

Zen's AI and Defence Technology Strategy

The acquisition fits into Zen Technologies' broader strategy of developing AI-powered defence solutions.

Zen said Cogknit's technology will complement Samvid, its proposed AI platform focused on shared battlefield awareness. Cogknit's command-and-control capabilities are expected to provide a layer connecting tanks, vehicles and soldiers.

The technology could also complement Zen's existing portfolio, which includes training simulators, counter-drone systems, drones and autonomous platforms.

The company believes that modern warfare is increasingly dependent on how quickly military forces can gather battlefield information, communicate it across units and make decisions.

Zen Chairman and Managing Director Ashok Atluri highlighted the importance of developing defence technology in close collaboration with its end users. According to him, Cogknit's nearly five-year journey from selection under the iDEX challenge to Army field trials provided valuable insights that could benefit future R&D across the Zen group.

Zen aims to build Cogknit into an indigenous battlefield management standard, connecting capabilities from the tank level to the individual soldier.

About Zen Technologies

Founded in 1993 and headquartered in Hyderabad, Zen Technologies operates in several areas of defence technology.

  • Its portfolio includes:
  • Training simulators
  • Counter-UAS systems
  • Drones
  • Autonomous platforms
  • Directed-energy weapons
  • AI-enabled defence technologies

The company says its technological development is supported by more than 200 patents.

Zen Technologies Share Price Performance

Zen Technologies' share price has declined approximately 3.5% over the past month, according to the details provided.

However, over a longer one-year period, the company's shares have gained approximately 18.63%.

The Cogknit acquisition could become an important strategic development for Zen as the company looks to expand its capabilities in AI, battlefield intelligence, autonomous defence systems and indigenous military technology.

What This Deal Means for Zen Technologies

The acquisition gives Zen Technologies access to a technology platform focused on battlefield connectivity and command-and-control. Combining Cogknit's capabilities with Zen's existing defence ecosystem could potentially create a broader suite of integrated military solutions.

With India's growing focus on defence indigenisation and domestic defence manufacturing, the deal also highlights the increasing role of Indian technology startups in developing solutions for the armed forces.

The key factors investors may watch going forward include the completion of the transaction, integration of Cogknit, adoption of its battlefield management technology and the potential commercialisation of its defence solutions.
